YOUR PRIVACY & SECURITY AT A GLANCE: At Omniara, your health data belongs entirely to you. We do not train public AI models on your personal health information or uploaded medical records, nor do we sell or monetize your data. Your information is hosted securely on enterprise-grade infrastructure within Canada (Microsoft Azure Canada East / Central), protected in accordance with Canadian privacy standards (PIPEDA, PHIPA, and Quebec’s Loi 25). You retain full ownership of your records, and you can export or permanently delete your data at any time.
This agreement combines our Terms of Service and Privacy Policy into a single document governing your access to and use of the mobile application, website, and related digital services (collectively, the "Platform") operated by Omniara Health Inc. ("Omniara," "we," "us," or "our").
By creating an account, downloading the app, or using our services, you agree to be bound by all terms, conditions, and disclosures set forth below.
PART 1: TERMS OF SERVICE
1. Mandatory Non-Diagnostic & Emergency Disclaimer
• CRITICAL NOTICE — FOR EMERGENCY USE ONLY: OMNIARA IS NOT DESIGNED FOR OR CAPABLE OF HANDLING MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, IMMEDIATELY CALL 911 (OR YOUR LOCAL EMERGENCY SERVICES) OR GO TO THE NEAREST EMERGENCY ROOM. DO NOT ATTEMPT TO USE OMNIARA TO SEEK EMERGENCY MEDICAL TREATMENT.
• Educational & Organizational Tool Only: The Platform is purely a personal health workspace designed to help users organize, format, summarize, and navigate their own personal health records. Omniara is NOT a medical device, does NOT provide medical advice, diagnosis, or treatment, and is NOT Software as a Medical Device (SaMD).
• Physician Relationship: Content generated on the Platform—including AI-assisted timeline summaries, laboratory trend analyses, and pre-visit agendas—is provided for informational and organizational purposes only. Nothing on the Platform creates a physician-patient relationship. Always seek the advice of a qualified physician or healthcare provider regarding any medical condition, diagnosis, or treatment plan. Never disregard professional medical advice or delay seeking it because of something you have read on or generated through Omniara.
2. Eligibility & Minimum Jurisdiction Age
• Jurisdictional Age Requirements: You must be of the minimum age required to consent to the collection and processing of personal health information in your applicable jurisdiction.
• In Quebec: You must be at least 14 years of age (pursuant to Loi 25) or have express parental/legal guardian consent.
• In jurisdictions where the age of legal capacity is higher (e.g., 18 years of age): You must meet that threshold or use the Platform under the direct supervision and express consent of a parent or legal guardian.
• Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• Caregiver / Proxy Access: If you grant a caregiver or family member proxy access to your account, you acknowledge that you are voluntarily sharing your information. You retain sole ownership of your health record and may revoke proxy access at any time through the app settings.
3. AI Performance, Data Extraction, and Accuracy
• You acknowledge that Omniara processes uploaded records using advanced Generative AI and automated document processing pipelines.
• While Omniara employs clinical guidelines and extraction controls, automated systems may occasionally produce incomplete, delayed, or inaccurate outputs ("hallucinations").
• You agree to cross-reference all AI-generated insights with your official medical documents provided by your certified healthcare providers.
4. Subscriptions, Billing, and Non-Refundable Fees
• Freemium & Pro Tiers: Omniara offers basic health record organization features free of charge and advanced capabilities ("Pro Tier") via monthly recurring subscriptions.
• Payment Processors: Subscriptions are billed through third-party platforms (Apple App Store, Google Play Billing, or Stripe).
• Non-Refundable: All subscription fees are strictly non-refundable once billed. You may cancel your recurring subscription at any time prior to your next renewal date to prevent future charges.
5. Intellectual Property & Brand Equity
• The Omniara name, logo, proprietary user interface, brand assets, and evidence-based software architecture are the exclusive intellectual property of Omniara Health Inc.
• You retain full ownership and intellectual property rights over all personal documents, health records, and clinical files you upload to the Platform.
6. Governing Law & Jurisdiction
• This agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
• Subject to applicable provincial consumer protection laws, you agree that any legal action, suit, or proceeding arising out of or relating to this agreement shall be instituted exclusively in the courts of the Province of Ontario, Canada.
• Before initiating formal legal proceedings, both you and Omniara agree to attempt to resolve any dispute, claim, or controversy informally through good-faith negotiations or mutually agreed voluntary mediation.

8. Information We Collect
To construct your structured, personal health workspace, we collect:
• Uploaded Personal Health Records: Medical PDFs, laboratory test results, clinical consultation notes, imaging reports, and pharmacy records uploaded directly by you.
• User-Provided Profile Information: Basic profile details, self-reported health conditions, chat entries, and pre-visit questions.
• De-Identified Analytics: Anonymized app performance metrics, crash reports, and device hardware types required for security audits and app store compliance.
9. Our Strict AI Commitment (No Data Sales or Training)
• Service Delivery Only: Your data is processed solely to aggregate, organize, and summarize your health timeline for your personal viewing.
• ZERO MODEL TRAINING PROMISE: Your Personal Health Information (PHI) and uploaded medical documents will NEVER be sold, rented, monetized, or used to train public AI foundation models.
10. Enterprise Subprocessors & Canadian Data Hosting
We partner exclusively with enterprise technology providers bound by strict confidentiality and data protection agreements:
• Cloud Storage & Database: Microsoft Azure (Hosted securely in Canadian cloud regions: Canada East / Canada Central).
• AI Processing Infrastructure: OpenAI API Enterprise Zero-Data Retention Pipeline (Data is processed strictly in-memory per user request with zero persistent storage or model retention).
• Payment Processing: Apple App Store, Google Play Billing, and Stripe (Financial data is processed directly by these providers; Omniara never sees or stores full payment card credentials).
• Analytics: De-identified product analytics tools operating with automatic PHI scrubbing enabled.
11. Data Retention, Account Deletion, and Export Rights
• "Export My Data" Capability: You have the right to request and export a complete copy of your structured profile and uploaded data at any time via the automated "Export My Data" button built directly into your app settings.
• 30-Day Automated Deletion Purge: If you delete your account, your profile and all associated uploaded files enter a dormant state for 30 days (allowing for accidental deletion recovery), after which all records are permanently, irreversibly purged from our primary servers and encrypted database backups.
12. Website Guest Preview and Temporary Processing
When accessing the Omniara web preview or demo interface without an account, any uploaded medical documents, PDFs, or queries are processed strictly in-memory during your active browser session solely to generate your sample health breakdown. Unlike the mobile application, guest web sessions do not save, retain, or store your documents or generated reports in a user account database. All temporary data uploaded during a guest web session is automatically discarded upon closing or refreshing your browser tab.
13. Updates to This Document
We may update this agreement periodically to reflect changes in regulatory standards or system upgrades. Material updates will be communicated directly within the Omniara app or sent to your registered email address. Continued use of the Platform following notification constitutes acceptance of the updated terms.
